Read Hero Terms and Conditions

These Terms of Service (“Terms”) govern your registration, access, and engagement as a part-time teacher with AM Eterna Sdn Bhd (“Read Hero”). Your access to and use of the Read Hero teacher platform, teaching materials, and related services is conditioned on your acceptance of and compliance with these Terms, our Privacy Policy for Teachers, and the Non-Disclosure Agreement (NDA) signed upon registration.

By registering as a Read Hero teacher, you agree to be bound by these Terms. Please read them carefully. If you do not agree to these Terms, please do not proceed with your registration or engagement.

As Read Hero evolves, these Terms will be updated to reflect new situations. Any revisions shall become effective upon posting at www.readhero.com.my or through the Read Hero platform. Your continued engagement after any changes constitutes your acceptance of the revised Terms.

1. Eligibility & Registration

You may register as a Read Hero teacher only if you are able to form a binding contract with AM Eterna Sdn Bhd and comply with these Terms and all applicable Malaysian laws and regulations.

You must provide accurate and complete information during registration, including your real full name, identity card number, contact details, bank account information, and emergency contact details. You are responsible for keeping your registration information current and accurate.

You are responsible for safeguarding the password used to access the Read Hero teacher platform. You are solely responsible for all activities conducted under your account. Please notify Read Hero immediately at hello@readhero.com.my if you suspect any unauthorised use of your account.

2. Nature of Engagement

Your engagement with Read Hero is on a part-time basis. These Terms, together with the NDA and any other documents provided during registration, constitute the entire agreement between you and Read Hero regarding your engagement as a teacher.

Read Hero reserves the right to modify, suspend, or terminate the teacher engagement programme or any features thereof at any time, with or without prior notice. Read Hero may also update the teaching platform, materials, or SOPs from time to time.

3. Professional Teacher Kit

3.1 Provision of Kit

Read Hero provides all registered part-time teachers with a Professional Teacher Kit worth RM100 as preparation before teaching begins. The kit includes:

  • Read Hero training
  • Teaching materials
  • Teacher references
  • SOPs and teaching modules
  • Teaching support from trainers and management

All training and teaching systems are fully guided by the Read Hero team at no additional training fee to the teacher.

3.2 Reusable Materials

Some teaching materials provided within the Professional Teacher Kit are reusable and remain the property of Read Hero throughout your active period as a teacher. You agree to:

  • Take reasonable care of all teaching materials issued to you
  • Use the materials solely for Read Hero teaching purposes
  • Return all reusable materials to Read Hero management upon termination of your engagement, in good and usable condition
3.3 Material Acknowledgement

Upon receipt of your Professional Teacher Kit, you are required to acknowledge the materials received through the Read Hero registration system, including the material name, material code, and confirmation that the access link has been provided. This acknowledgement forms part of your registration record.

4. Read Hero Loyalty Appreciation Programme

Teachers who remain actively engaged with Read Hero may be eligible for the Read Hero Loyalty Appreciation during the final termination or exit clearance process. Eligibility is subject to all of the following conditions being met:

  • A minimum active teaching period of 12 months with Read Hero
  • Return of all reusable teaching materials in good condition
  • No pending classes or unresolved operational issues
  • Full compliance with Read Hero SOPs and exit clearance procedures

The Loyalty Appreciation is a token of appreciation from the management and is not a guaranteed entitlement. Read Hero reserves the right to determine eligibility at its sole discretion in accordance with the above criteria.

5. Teacher Responsibilities & Conduct

As a Read Hero teacher, you agree to:

  • Conduct all classes in accordance with Read Hero SOPs, teaching modules, and guidelines
  • Maintain professionalism and appropriate conduct towards students, parents, and the Read Hero team at all times
  • Attend all scheduled classes on time and notify management in advance of any unavailability
  • Complete all required operational and administrative tasks as directed by Read Hero
  • Not engage in any activity that may damage the reputation or interests of Read Hero
  • Not provide Read Hero teaching services independently or through any competing platform without prior written consent from Read Hero

6. Confidentiality & Non-Disclosure

As a condition of your engagement, you are required to comply with the Read Hero Non-Disclosure Agreement (NDA) signed during registration. You agree to keep strictly confidential all Disclosor Confidential Information, including but not limited to:

  • Read Hero teaching materials, SOPs, training content, and teaching modules
  • Student and customer information
  • Business operations, processes, methods, and pricing
  • Any information disclosed by or on behalf of Read Hero during your engagement

These confidentiality obligations survive the termination of your engagement and remain in force for 24 months following termination, in accordance with the NDA Agreement Terms.

Upon termination of engagement, you must immediately cease use of all Read Hero Confidential Information and, within 1 week, destroy or return all media containing such information as directed by Read Hero.

7. Intellectual Property

All teaching materials, SOPs, training content, modules, branding, and other content provided to you by Read Hero are and remain the exclusive property of Read Hero and its licensors. Nothing in these Terms grants you any ownership right or licence to use Read Hero’s intellectual property outside of your teaching duties.

You must not copy, reproduce, modify, distribute, or share any Read Hero proprietary materials without prior written consent from Read Hero. This restriction continues to apply after the termination of your engagement.

Any feedback, suggestions, or improvements you provide to Read Hero regarding the teaching programme, materials, or platform are entirely voluntary and Read Hero is free to use such input without any obligation to you.

8. Teaching Fees & Payment

Read Hero will process teaching fees and other agreed remuneration to your registered bank account in accordance with the payment schedule communicated by management. You are responsible for ensuring that your bank account details provided during registration are accurate and up to date.

Read Hero will not be liable for any payment delays or failures resulting from inaccurate bank account information provided by you. Any disputes regarding payment must be raised with management within 14 days of the relevant payment date.

9. Use of the Read Hero Teacher Platform

Access to the Read Hero teacher platform is provided solely for the purposes of fulfilling your teaching duties. You must not:

  • Use the platform for any unlawful purpose or in violation of any applicable Malaysian law
  • Attempt to access, tamper with, or circumvent any non-public areas of the platform or Read Hero’s systems
  • Share your login credentials with any other person
  • Upload or post any content that infringes intellectual property rights, is defamatory, offensive, or otherwise violates these Terms
  • Use automated tools, bots, or crawlers to access or interact with the platform

Read Hero reserves the right to suspend or terminate your platform access at any time if you are found to be in breach of these Terms.

10. Termination of Engagement

Either party may terminate the teacher engagement by providing written notice to the other party. Termination is subject to the conditions set out in the NDA Agreement Terms.

Upon termination, you must:

  • Immediately cease teaching under the Read Hero name
  • Return all reusable teaching materials to Read Hero management within the timeframe specified
  • Complete all exit clearance procedures as directed by management
  • Cease use of and return or destroy all Read Hero Confidential Information within 1 week of termination

Eligibility for the Read Hero Loyalty Appreciation will be assessed during the exit clearance process in accordance with Section 4 of these Terms.

11. Disclaimers & Limitation of Liability

The Read Hero teacher platform and all related resources are provided on an “AS IS” and “AS AVAILABLE” basis. Read Hero makes no warranties, express or implied, regarding the accuracy, completeness, availability, or suitability of any content or materials provided.

To the maximum extent permitted by applicable Malaysian law, Read Hero and its officers, employees, and agents shall not be liable for any direct, indirect, incidental, or consequential damages arising from your engagement as a teacher, your use of the platform, or any content provided through the Read Hero teaching programme.

12. Indemnity

You agree to indemnify and hold harmless AM Eterna Sdn Bhd, its officers, employees, and agents from and against all damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms or the NDA
  • Your conduct during teaching sessions or interactions with students and parents
  • Any misuse of Read Hero teaching materials or confidential information
  • Any claim brought by a third party arising from your actions as a Read Hero teacher

13. General

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Read Hero’s failure to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.

These Terms, together with the Privacy Policy for Teachers and the NDA, constitute the entire agreement between you and Read Hero regarding your engagement as a teacher and supersede all prior agreements or understandings between the parties.
